Governing Documents

The foundational legal documents that establish an HOA, define its powers, and outline the rights and responsibilities of both the association and its members.

Governing Documents are the bedrock legal framework for any Homeowners Association (HOA), condominium association, or planned community. These comprehensive sets of official records establish the association’s existence, define its operational structure, and outline the rights, responsibilities, and obligations of both the association’s board of directors and its individual members (homeowners). They serve as the definitive rulebook, ensuring consistency, fairness, and legal compliance in the management of shared property and community affairs. Without these foundational documents, an HOA would lack the authority to operate, collect assessments, enforce rules, or maintain common areas, making them indispensable for effective community management and the preservation of property values.

Typically, Governing Documents are hierarchical, with state statutes and the association’s Articles of Incorporation at the top, followed by the Declaration of Covenants, Conditions, and Restrictions (CC&Rs), the Bylaws, and finally, the Rules and Regulations or Architectural Guidelines. The CC&Rs are often considered the most crucial, as they “run with the land” and dictate fundamental property use restrictions, assessment obligations, and maintenance responsibilities. Bylaws detail the operational mechanics of the HOA, such as board elections, meeting procedures, and officer duties. Rules and Regulations provide more specific, often easily amendable, guidelines for day-to-day living and common area usage. Each document plays a vital role in creating a cohesive and well-managed community.

For HOA board members, understanding and consistently applying the Governing Documents is paramount to fulfilling their fiduciary duties and avoiding legal challenges. For homeowners, these documents are essential for understanding their rights, obligations, and the limitations on property use within the community. They guide decision-making on everything from architectural modifications and landscaping rules to pet policies and parking regulations. Regular review and, when necessary, amendment processes are critical to ensure the documents remain relevant and reflective of the community’s evolving needs, always adhering to legal requirements and proper amendment procedures, which are themselves outlined within the Governing Documents.
