A Resolution in the context of a Homeowners Association (HOA) is a formal, written statement of a decision, policy, rule, or interpretation adopted by the HOA’s Board of Directors. It serves as an official declaration of the board’s will and is a fundamental tool for effective HOA governance. Unlike the broad provisions found in the community’s primary governing documents, such as the Declaration of Covenants, Conditions, and Restrictions (CC&Rs) or Bylaws, resolutions address specific issues, provide detailed guidelines, or establish procedures necessary for the day-to-day operation and management of the association. They are crucial for maintaining consistency, transparency, and accountability within the community.

Resolutions typically fall into several categories, including policy resolutions (e.g., establishing a new payment plan policy), rule resolutions (e.g., defining specific usage rules for common areas), enforcement resolutions (e.g., detailing the process for addressing violations), and interpretive resolutions (e.g., clarifying the meaning of an ambiguous clause in the CC&Rs). The process of adopting a resolution usually involves a motion, discussion, and a vote by the HOA board during a duly called board meeting. Once passed, resolutions become part of the association’s official records, often appended to or referenced in the meeting minutes. They are legally binding on the association, its board, and its homeowners, provided they do not conflict with state law or the association’s superior governing documents.

For homeowners, understanding resolutions is vital as they directly impact daily living and property use within the community. Resolutions provide clear guidance on various aspects of HOA life, from architectural review processes and landscaping standards to amenity use and dispute resolution procedures. They ensure that the HOA board’s decisions are formally documented, communicated, and applied consistently across the community. Properly drafted and recorded resolutions enhance the professionalism of HOA management, provide a clear historical record of board actions, and contribute significantly to the stability and harmony of the planned community.

Example

The HOA board passed a resolution establishing a new policy for the collection of delinquent assessments, including specific timelines and fees.
To clarify the community's pet policy, the board adopted a resolution defining 'household pet' and outlining the procedures for reporting and addressing pet-related nuisances.
